By purchasing, ordering, accepting delivery of, possessing, storing, transporting, handling, reselling, or using any product, equipment, service, or information supplied by Solvent Direct, Inc. (“Solvent Direct”), Customer expressly agrees to all terms, conditions, disclaimers, limitations of liability, indemnifications, policies, and legal provisions set forth herein. These Terms apply to all quotations, invoices, purchase orders, deliveries, transactions, communications, website purchases, text orders, and business conducted with Solvent Direct unless otherwise expressly agreed to in writing by an authorized officer of Solvent Direct.
GENERAL TERMS
All sales are final unless otherwise approved in writing by Solvent Direct management. Solvent Direct reserves the right, at any time and in its sole discretion, to refuse service, reject orders, cancel orders, allocate inventory, limit quantities, modify pricing, suspend accounts, revoke discounts, require prepayment, require deposits, terminate business relationships, or restrict sales for any reason permitted by law.
Prices, specifications, inventory levels, freight rates, availability, lead times, routes, and product offerings are subject to change without notice. Solvent Direct is not responsible for typographical errors, pricing errors, specification errors, supplier errors, website errors, inventory inaccuracies, allocation shortages, or delays caused by suppliers, manufacturers, carriers, labor shortages, weather, utility failures, cyber incidents, acts of God, governmental action, force majeure events, or circumstances beyond its reasonable control.
No exception, accommodation, replacement, refund, credit, waiver, adjustment, or courtesy extended by Solvent Direct shall create any ongoing obligation, precedent, waiver of rights, or modification of these Terms unless expressly approved in writing by an authorized officer of Solvent Direct.
Failure of Solvent Direct to enforce any provision of these Terms shall not constitute waiver of any rights.
ORDER SUBMISSIONS & CONFIRMATIONS
Orders may be placed through Solvent Direct’s website, approved digital platforms, phone, email, text message, or authorized representatives. Orders are not binding until accepted and confirmed by Solvent Direct.
To qualify for next-day delivery or pickup service, order confirmations and cleared payment must be received by 3 PM local time one business day prior unless otherwise specified. Certain hazardous materials, specialty products, regulated products, perishables, temperature-sensitive materials, freight shipments, and custom orders may require additional lead times, scheduling restrictions, management approval, minimum quantities, or allocation limitations.
Customer is solely responsible for confirming:
Product specifications and quantities
Delivery address and accessibility
Receiving hours and personnel
Accurate contact information
Empty returns and exchanges
Equipment compatibility
Inventory requirements
Safe receiving conditions
Regulatory compliance
Cleared payment prior to dispatch
Customer is solely responsible for maintaining adequate inventory levels, operational contingencies, backup supply, and production planning. Solvent Direct shall not be liable for shortages, delayed deliveries, allocation limitations, route schedules, production interruptions, downtime, lost revenue, or operational losses.
PAYMENT TERMS
Solvent Direct may require payment in advance, deposits, ACH, wire transfer, certified funds, or other approved payment methods at its sole discretion.
Returned checks, failed ACH transfers, chargebacks, payment reversals, disputed transactions, fraudulent claims, or unauthorized reversals may result in immediate account suspension, repossession of company property, collections activity, legal action, and recovery of all attorney’s fees, court costs, expert fees, administrative expenses, interest, collection fees, and damages incurred by Solvent Direct.
Customer expressly waives all chargeback rights for delivered or tendered products absent proven fraud.
DELIVERY, TITLE & RISK OF LOSS
Delivery dates, schedules, routes, and service windows are estimates only and are not guaranteed unless expressly agreed to in writing by an authorized officer of Solvent Direct.
Title and risk of loss transfer immediately upon:
Delivery,
Customer pickup,
Transfer to carrier,
Placement at Customer’s designated location,
Or attempted delivery.
Customer assumes all risk and liability arising from unloading, storage, handling, possession, transportation, resale, disposal, or use of products following transfer of custody.
Solvent Direct is not liable for:
Delivery delays
Traffic
Weather
Route scheduling
Allocation shortages
Carrier failures
Access restrictions
Product sublimation
Evaporation
Pressure loss
Vapor loss
Temperature fluctuation
Theft
Spoilage
Contamination
Natural product degradation
Or conditions occurring after transfer of custody
Certain products are perishable, temperature-sensitive, pressure-sensitive, or subject to natural evaporation, sublimation, venting, settling, leakage, or degradation. Such conditions do not constitute product defect, shortage, nonconformance, or grounds for refund or rejection.
Dry ice products naturally sublimate over time and may experience normal weight loss during storage, transportation, or handling. Sublimation and associated weight reduction after transfer of custody do not constitute shortage claims or product defects.
Customer is solely responsible for ensuring all persons handling products are properly trained, supervised, equipped, licensed, and legally authorized.
HAZARDOUS MATERIALS WARNING
Customer acknowledges that many products supplied by Solvent Direct are hazardous materials and may present risks including but not limited to:
Fire
Explosion
Pressure release
Frostbite
Asphyxiation
Toxic exposure
Chemical burns
Environmental contamination
Property damage
Serious bodily injury
Death
Customer is solely responsible for:
Safe storage, transportation, and use
Facility design and ventilation
Hazard communication
Employee and contractor training
PPE compliance
Fire suppression systems
Pressure relief systems
Emergency response procedures
Equipment inspection and maintenance
Regulatory permitting and reporting
Compliance with all laws and industry standards
PRODUCT COMPATIBILITY, APPLICATION & TECHNICAL DISCLAIMER
Customer is solely responsible for independently determining and verifying the suitability, compatibility, legality, purity requirements, engineering requirements, operating limits, handling requirements, specifications, and safe use of all products supplied by Solvent Direct with Customer’s specific:
Equipment
Systems
Formulations
Manufacturing processes
Temperatures
Pressures
Materials
End products
Personnel
Facilities
Intended applications
Regulatory obligations
Solvent Direct makes no representation, certification, engineering recommendation, or warranty that any product is compatible with any particular equipment, process, formulation, operating environment, or application unless expressly approved in writing by an authorized officer of Solvent Direct.
Any technical information, discussions, blog posts, FAQs, product descriptions, specifications, compatibility discussions, marketing materials, SDS references, purity data, videos, calculators, social media content, AI-generated content, customer support communications, verbal guidance, recommendations, or statements provided by Solvent Direct are provided solely for general informational purposes and shall not be construed as engineering, scientific, legal, tax, accounting, operational, medical, safety, or regulatory advice.
Customer acknowledges and agrees that it has not relied upon any verbal statement, recommendation, technical discussion, compatibility discussion, marketing claim, blog content, FAQ content, AI-generated content, social media content, calculator, website content, or communication not expressly contained in a written agreement signed by an authorized officer of Solvent Direct.
Customer is solely responsible for reviewing and complying with:
Manufacturer specifications and approvals
Operating manuals
SDS documentation
Engineering and design requirements
CGA, NFPA, ASTM, OSHA, DOT, EPA, FDA, DEA, and all federal, state, local, and international laws and regulations
Industry standards and best practices
Insurance requirements
Licensing requirements
Facility and operational requirements
Use of products outside manufacturer recommendations, approved operating conditions, intended applications, or regulatory requirements is solely at Customer’s risk and may void equipment warranties, create hazardous conditions, contaminate products, damage equipment, result in recalls, fines, regulatory action, injury, death, or environmental harm.
Products are intended solely for use by trained and qualified professionals familiar with the hazards and operational limitations of their systems and processes.
CYLINDERS, DEWARS, TANKS, BINS & COMPANY PROPERTY
All cylinders, dewars, tanks, pallets, valves, fittings, bins, reusable containers, and equipment supplied by Solvent Direct remain the exclusive property of Solvent Direct unless expressly sold in writing.
Customer is fully responsible for:
Loss
Theft
Damage
Contamination
Misuse
Unauthorized filling
Improper storage
Regulatory violations
Failure to return company property
Deposit returns are contingent upon inspection, verification of ownership, condition assessment, recertification status, contamination review, and regulatory compliance verification.
Solvent Direct reserves sole discretion to reject returned assets for contamination, unsafe condition, modification, damage, improper storage, expired certification, missing labels, altered markings, or regulatory noncompliance.
Solvent Direct reserves the right to charge replacement costs, rental fees, administrative fees, inspection fees, cleaning fees, freight charges, disposal costs, attorney’s fees, and recovery expenses associated with company property.
INSPECTION, TESTING & CLAIM PROCEDURES
Customer must inspect all products immediately upon receipt and prior to use.
Any claim involving:
Shortages
Damage
Product defects
Nonconforming specifications
Contamination
Purity disputes
Incorrect product
Delivery discrepancies
must be submitted in writing within five (5) calendar days of delivery or such claim shall be permanently waived.
Customer must preserve all original packaging, labels, seals, cylinders, retained samples, chain-of-custody documentation, analytical data, and testing records related to any claim.
Customer shall not conduct destructive testing, transfer products, dispose of evidence, alter products, modify chain-of-custody records, or allow third-party access to disputed materials prior to providing Solvent Direct a reasonable opportunity to inspect and evaluate the claim.
Solvent Direct reserves the right to require independent third-party testing by a laboratory selected by Solvent Direct.
Failure to follow these procedures shall permanently bar any claim against Solvent Direct.
NO GUARANTEE OF CONTINUOUS SUPPLY
Solvent Direct does not guarantee uninterrupted supply, future availability, allocation quantities, production continuity, or ongoing inventory levels for any product.
Products may be discontinued, substituted, allocated, delayed, restricted, repriced, or removed from sale at any time without notice.
PRICE MATCH, DISCOUNTS & PROMOTIONS
Price match programs, discounts, promotional pricing, rebate programs, special pricing, coupon codes, and marketing offers may be modified, denied, suspended, revoked, or terminated at any time in Solvent Direct’s sole discretion.
WARRANTY DISCLAIMER
EXCEPT AS EXPRESSLY PROVIDED IN WRITING BY AN AUTHORIZED OFFICER OF SOLVENT DIRECT, ALL PRODUCTS, EQUIPMENT, SERVICES, CONTENT, INFORMATION, AND MATERIALS ARE PROVIDED “AS IS,” “WHERE IS,” AND “WITH ALL FAULTS.”

arising out of or related to any product, recommendation, compatibility issue, technical discussion, contamination allegation, delay, shortage, delivery, or transaction involving Solvent Direct, regardless of legal theory, INCLUDING NEGLIGENCE, STRICT LIABILITY, BREACH OF WARRANTY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
In all circumstances, Solvent Direct’s maximum aggregate liability shall not exceed the amount actually paid by Customer to Solvent Direct for the specific product directly giving rise to the claim.
INDEMNIFICATION
Customer agrees to fully indemnify, defend, and hold harmless Solvent Direct, its affiliates, owners, officers, employees, contractors, insurers, suppliers, and agents from and against any and all claims, liabilities, damages, losses, recalls, penalties, fines, lawsuits, judgments, costs, and expenses, including attorney’s fees, arising out of or related to:
Customer’s use or misuse of products
Customer’s equipment or processes
Product modifications
Repackaging
Relabeling
Resale
Regulatory violations
Environmental releases
Contamination claims
Employee actions
Negligence
Injuries
Death
Failure to comply with laws or manufacturer requirements
FORCE MAJEURE
Solvent Direct shall not be liable for any delay, interruption, shortage, allocation, or failure to perform caused directly or indirectly by:
Supply shortages
Raw material shortages
Transportation interruptions
Labor disputes
Pandemics
Natural disasters
Terrorism
Cyberattacks
Government actions
Utility failures
Carrier failures
Manufacturer delays
Acts of God
Regulatory restrictions
Commercial impracticability
Solvent Direct may allocate available inventory among customers in its sole discretion during shortages or force majeure events.
EXPORT, REGULATORY & ILLEGAL USE
Customer represents and warrants that products purchased from Solvent Direct will not be used, transferred, exported, resold, or distributed in violation of any applicable law, regulation, permit, sanction, or licensing requirement.
Customer is solely responsible for ensuring legal compliance related to possession, use, transportation, processing, manufacturing, and resale of all products.
PRIVACY POLICY
By interacting with Solvent Direct, Customer consents to the collection, use, monitoring, recording, retention, storage, transfer, and disclosure of information reasonably necessary to conduct business operations, fulfill orders, comply with legal obligations, prevent fraud, improve services, enforce agreements, and protect Solvent Direct’s legal interests.
Solvent Direct reserves the right to record calls, preserve communications, monitor digital activity, use security cameras, and retain transaction data as permitted by law.
ARBITRATION & GOVERNING LAW
Any dispute, claim, or controversy arising out of or relating to any transaction, product, service, or relationship with Solvent Direct shall be resolved exclusively through binding arbitration in the State of California under the Commercial Arbitration Rules of the American Arbitration Association.
Customer waives any right to trial by jury, class action participation, consolidated claims, or punitive recovery to the fullest extent permitted by law.
These Terms shall be governed exclusively by the laws of the State of California without regard to conflict of law principles.
ATTORNEY’S FEES
Customer agrees to reimburse Solvent Direct for all attorney’s fees, court costs, arbitration costs, collection expenses, expert fees, repossession costs, and enforcement expenses incurred in connection with collection, enforcement, disputes, or protection of Solvent Direct’s rights.
SEVERABILITY
If any provision of these Terms is determined unenforceable, all remaining provisions shall remain enforceable to the maximum extent permitted by law.
ENTIRE AGREEMENT
These Terms constitute the complete and exclusive agreement between Customer and Solvent Direct and supersede all prior oral or written communications, representations, negotiations, understandings, recommendations, and discussions unless otherwise expressly agreed to in writing by an authorized officer of Solvent Direct.
NOTICE: Customer is solely responsible for determining and verifying the suitability, compatibility, legality, specifications, operating limits, handling requirements, and safe use of all products supplied by Solvent Direct, Inc. with Customer’s specific equipment, systems, formulations, operating conditions, facilities, personnel, intended applications, and manufacturing processes prior to purchase and use.
